Terms of Service

By accessing or using Formalize, you confirm that you have read, understood, and agree to be bound by these terms. If you do not agree, please do not use the service. If you are using Formalize on behalf of a business, you confirm you are authorised to accept these terms for it.

Formalize is an AI assistant that helps people understand how to register and stay compliant with Zambian authorities such as PACRA and ZRA. It answers questions in plain language, sets out steps and likely fees, and cites the official sources it relies on. It is an information and guidance tool. It is free to use, and we may add, change, or remove features at any time.

This is the most important section. Please read it carefully.

• Formalize provides general information and guidance only. It is not legal, tax, accounting, or financial advice, and it is not a substitute for a qualified lawyer, accountant, or tax adviser.
• The assistant is powered by AI and can be incomplete, out of date, or wrong. Government fees, rates, thresholds, forms, and procedures change, and official sources themselves sometimes conflict or contain errors.
• Before you act, pay, or file anything, you must confirm the details independently with the relevant authority (for example, on the official PACRA and ZRA portals or at their offices) and, where your situation is complex or high-stakes, seek professional advice.
• You are solely responsible for your own registrations, filings, payments, and compliance decisions. Formalize does not submit anything to any authority on your behalf, and does not create any professional or advisory relationship with you.

You must be at least 18 years old to use Formalize. By using the service you confirm that you are.

You can use Formalize anonymously. If you create an account (to save your conversations), you are responsible for keeping your sign-in secure and for activity under your account. Tell us promptly if you suspect unauthorised use. We use Clerk to manage sign-in; your use of it is also subject to Clerk’s terms.

You agree not to:

• use Formalize for any unlawful, fraudulent, or harmful purpose;
• misuse or disrupt the service, including attempting to bypass usage limits, security, or authentication;
• scrape, copy, or harvest the service or its content at scale, or use automated means to access it beyond normal personal use;
• reverse engineer, decompile, or attempt to extract our source code or models;
• submit content that infringes others’ rights or that is unlawful, or rely on the service to give advice to third parties as if it were professional advice.

We may suspend or limit access that breaches these terms or threatens the service.

You keep ownership of the information you type into Formalize. You grant us a limited licence to process that content in order to operate the service — including sending it to our AI model providers to generate a response, and storing your conversations if you are signed in. How we handle this data is described in our Privacy Policy. Do not submit sensitive personal data or confidential information you are not permitted to share.

Formalize, including its name, branding, software, design, and its curated reference materials, is owned by Formalize AI Limited and protected by law. We grant you a personal, non-exclusive, non-transferable right to use the service under these terms. You may act on the guidance you receive, but you may not resell, redistribute, or present the service or its output as your own product.

Formalize links to and relies on third parties, including government portals (PACRA, ZRA, and others) and our AI and infrastructure providers. We do not control those third parties and are not responsible for their content, availability, or practices. Your use of them is at your own risk and subject to their own terms.

Formalize is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any guidance, figure, or source it provides is accurate, current, or complete. Any reliance you place on the service is at your own risk.

To the fullest extent permitted by law, Formalize AI Limited will not be liable for any indirect, incidental, special, or consequential losses, or for any lost profits, penalties, fines, missed deadlines, or losses arising from your reliance on the service or from any inaccuracy in its guidance. Nothing in these terms excludes any liability that cannot be excluded under Zambian law. Because the service is provided free of charge, our total aggregate liability to you for all claims relating to the service is limited to the greater of (a) the total amount, if any, you have paid us for the service in the twelve months before the claim (which, as Formalize is free, is normally zero), or (b) ZMW 1,000.

You agree to indemnify and hold Formalize AI Limited harmless from claims, damages, and costs arising from your misuse of the service, your breach of these terms, or your infringement of any law or third-party right.

We may update these terms from time to time; the effective date at the top will change and, for material changes, we will give notice where appropriate. Continuing to use Formalize means you accept the updated terms. We may suspend or discontinue the service, or your access to it, at any time. You may stop using Formalize and delete your account at any time.

These terms are governed by the laws of the Republic of Zambia, and the courts of Zambia have jurisdiction over any dispute arising from them or from your use of Formalize. We encourage you to contact us first so we can try to resolve any issue directly.
